This document sets forth the Terms of Use of the website www.konsulitika.com and the Conditions of Service applicable to the consulting and training services offered under the commercial brand Konsulitika.

The service provider is Amaury Terrazas Ferrer, operating under the commercial brand Konsulitika, an individual registered with the Tax Administration Service (SAT) under the Simplified Trust Regime (RESICO).

2. Website Terms of Use

2.1 Acceptance

Accessing and using the website www.konsulitika.com implies full and unconditional acceptance of these Terms. If you disagree with any provision, you must refrain from using the site.

2.2 Intellectual Property

All content published on the website www.konsulitika.com — including texts, designs, logos, methodologies, and downloadable materials — is the property of the service provider or is used under license. Reproduction, distribution, or commercial use without prior written authorization is prohibited.

2.3 Informational Nature of Content

The content published on the site is for informational and commercial dissemination purposes only. No content on the site constitutes professional, legal, tax, financial, or investment advice. Visitors are solely responsible for decisions made based on the information published.

2.4 Availability and Modifications

The service provider reserves the right to modify, suspend, or discontinue any section of the site at any time and without prior notice. Konsulitika and its collaborators do not guarantee uninterrupted availability or the absence of technical errors.

3. General Conditions of Service

3.1 Nature of Service

Konsulitika and its collaborators provide business consulting services in management information analysis, digital productivity, data analytics, applied artificial intelligence, legal analytics, training, and financial modeling/valuation. The services are intellectual and advisory in nature; they do not include decision-making on behalf of the client or the execution of operational or legal actions on their account.

3.2 Service Formalization

Services are formalized by means of a written proposal accepted by the client, whether by signature, email confirmation, or any other method that provides evidence of acceptance. Acceptance of a proposal implies acceptance of these Conditions of Service.

For larger-scope projects or those involving access to systems or confidential information, a separate service agreement and/or non-disclosure agreement may be required.

3.3 Client Obligations

The client agrees to:

• Provide truthful, complete, and timely information for service delivery.

• Designate a point of contact with sufficient authority to make decisions related to the project.

• Validate deliverables received in accordance with their own internal processes before use.

• Promptly notify any change in information or context that may affect the scope of service.

• Make payments on the terms and deadlines agreed in the proposal.

3.4 Client Information and Confidentiality

Konsulitika and its collaborators will treat as confidential all information provided by the client in the context of service delivery. Such information will not be disclosed to third parties without the client's express consent, except as required by law. This obligation survives the conclusion of the service.

The service provider may mention the client as a commercial reference only with prior authorization. Under no circumstances will the client's financial, operational, or strategic data be disclosed to third parties.

3.5 Limitation of Liability

Konsulitika and its collaborators shall not be liable for direct, indirect, incidental, or consequential damages resulting from the use or inability to use the services, including financial losses arising from decisions made based on the deliverables, errors in the client's source data, delays caused by lack of timely information, or failures in third-party systems or tools.

3.6 Ownership of Deliverables

Deliverables generated specifically for the client are for the client's exclusive use once full payment for the service has been received. The methodologies, algorithms, frameworks, base templates, and know-how used in their preparation are and remain the property of the service provider.

3.7 Use of Generative Artificial Intelligence

Konsulitika and its collaborators may use generative artificial intelligence tools to support service delivery. All deliverables are reviewed and validated by the service provider before delivery. The use of generative AI is conducted with business data protection, meaning that information processed is handled under the same security, privacy, and compliance standards as data within the Konsulitika tenant. This implies that data is not used to train public models and is subject to internal security policies.

When a service includes training, guidance, or recommendations for the client to implement generative AI tools in their own processes, the following applies:

Generative artificial intelligence tools — including Microsoft Copilot and any other solution based on language models — operate through statistical text prediction and not through reasoning, fact verification, or guaranteed access to accurate or up-to-date information. By their nature, they may generate incorrect, incomplete, outdated, or contextually inappropriate content. Konsulitika and its collaborators provide training and guidance on the effective use of these tools, but are not responsible for the results, decisions, or actions arising from their application. It is the exclusive responsibility of the client and of the persons who use and implement these technologies within the client's business to verify, validate, and approve any AI-generated output before using it in business processes, communications, or decisions.

4. Service-Specific Conditions

The following notes supplement the general conditions and apply specifically to each service line.

4.1 Financial Scan (FS)

Financial Scan is a management information analysis consulting service. It does not constitute accounting audit, tax review, investment advice, or any service regulated by the CNBV, SAT, or IMCP. Analyses, projections, and alerts are advisory and are based on information provided by the client; they do not guarantee specific financial results. The client is responsible for validating the accuracy of their source data. This service does not replace formal bookkeeping, external audit, or tax advice from a certified public accountant. The update frequency is determined in the initial phase based on the client's resources. The monthly update, analysis, and maintenance subscription is independent of the implementation, based on the selected plan.

4.2 Digital Productivity Scan (DPS)

Digital Productivity Scan (including Strategic Training, Task Automation, and Executive Insights) is a consulting service focused on the diagnosis and improvement of operational productivity. Findings and recommendations are advisory in nature and are prepared based on information provided by the client. Konsulitika and its collaborators do not guarantee specific results in productivity, time savings, or return on investment from the recommendations. The decision to implement any operational, technological, or training change is the exclusive responsibility of the client. Implementation projects arising from the Scan constitute independent services subject to separate proposal and agreement.

4.3 Signal Artificial Intelligence (SAI)

Signal Artificial Intelligence is a consulting service in data science and applied artificial intelligence. Models, predictions, and analyses are advisory in nature and are built using the client's data; their accuracy is contingent on the quality of that information. No prediction or scenario constitutes a guarantee of future results. The client bears sole responsibility for decisions made based on the outputs. Konsulitika and its collaborators do not provide services regulated by the CNBV. Machine learning models have inherent limitations; the client must validate results before implementing them in critical processes.

4.4 Legal Analytics (LA)

Legal Analytics is a consulting service in financial and data analysis applied to legal contexts. It does not constitute an audit, official expert report, accounting opinion, or legal advice. The analyses serve as a supplementary tool to the legal strategy of the responsible attorney or law firm; they are not binding and do not replace the opinion of an officially appointed expert designated by a competent authority. Konsulitika and its collaborators are not responsible for the outcome of negotiations or any legal or arbitration proceedings. Analyses are conducted solely on the basis of documentation and information provided by the client; the truthfulness and authenticity of such information is the exclusive responsibility of the party providing it.

4.5 Catalyst AI Training (CAT)

Catalyst AI Training (CAT) is a corporate training service in productivity and artificial intelligence tools. Time savings, productivity, and return-on-investment figures cited in program materials are drawn from external studies (Forrester Consulting, 2025, commissioned by Microsoft) and correspond to implementations at the Microsoft 365 suite level; individual results may vary significantly depending on team profile, effective post-training adoption, the client's internal policies, and available technology infrastructure. Konsulitika does not guarantee that participation in the program will yield the productivity or savings levels described in such studies. This service is exclusively for training purposes; it does not constitute technology implementation, technical support, or Microsoft license administration. The acquisition, activation, and configuration of Microsoft 365 and Copilot licenses is the exclusive responsibility of the client or their designated technology provider.

4.6 Financial Modeling & Valuation (FM&V)

Financial Modeling & Valuation (FM&V) is a consulting service in financial modeling and business valuation. Models, projections, valuations, and scenarios delivered are technical and advisory in nature and are built using information, assumptions, and data provided by the client. No projection, valuation, or scenario analysis constitutes a guarantee of future performance, value, cash flow, or financial results. This service does not replace the opinion of a certified valuator (e.g., AMIB, CNBV), nor the advice of an external auditor, certified public accountant, or registered investment advisor.

Presentations or documents are prepared based on information available at the time of their preparation and under certain assumptions and valuation methodologies considered reasonable in financial practice. The analysis is for informational purposes only and does not constitute a recommendation, offer, or advice to execute a purchase or sale transaction or an investment/divestment in projects or business units.

The estimated value presented is indicative and may vary based on changes in market conditions, available information, or the assumptions used. The final price in a potential transaction will depend on negotiations between the parties. The final investment/divestment decision regarding projects or business units will depend on the investor.

Konsulitika and its collaborators assume no liability for decisions made based on the presentations or documents produced.

Valuations delivered are intended for internal analysis and decision-making purposes.

The client bears sole responsibility for investment, financing, or divestment decisions made based on the service deliverables. Konsulitika and its collaborators do not provide services regulated by the CNBV nor act as investment advisors within the meaning of the Securities Market Law.

5. Payments and Invoicing

Fees, payment method, and invoicing schedule are established in each service proposal. In the absence of a specific agreement, the following conditions apply:

• Implementation or project services are invoiced in accordance with the schedule agreed in the proposal, typically with an advance payment at the start.

• Monthly subscription services are invoiced in advance at the beginning of each period.

• Payment delays of more than ten calendar days may result in suspension of the service without liability to the service provider.

• Invoicing is issued in accordance with the client's tax details. Konsulitika issues CFDI under the RESICO regime.

6. Services to Clients Outside Mexico

Konsulitika and its collaborators may provide services to clients located in other countries. In all cases, the applicable law will be the federal legislation of the United Mexican States, and any dispute will be submitted to the jurisdiction of the competent courts of Mexico City, with express waiver of any other jurisdiction.

Clients located outside Mexico are responsible for verifying that the engagement of these services complies with the applicable local regulations in their country.

7. Amendments to These Terms

Konsulitika reserves the right to update these Terms at any time. The current version will be available on the website. Continued use of the site or engagement of services following publication of a new version implies acceptance of the changes.
